During the year under review the Supervisory Council met
four times in the presence of the Executive Board. Prior to
these meetings, closed meetings of the Supervisory Council
took place - without the Executive Board - on three
occasions. At the various meetings the following subjects
were discussed, inter alia: the composition of the Executive
Board, the division of tasks within this Board, quarterly
statements of results, the policy plan and operational plan,
the budget, acquisitions, participations, investments,
financing and management development.
The Supervisory Council has a Small Committee, comprising
the Chairman, the Secretary and a member of the Council.
The meetings of the Small Committee are in principle
attended by the Chairman of the Executive Board, who has
an advisory voice. The main task of the Small Committee is
to prepare and implement the resolutions of the Supervisory
Council. In the course of the year under review the
Supervisory Council laid down in writing the composition,
task and mode of operation of the Small Committee. The
Small Committee met ten times during the year.
During the year under review - as in 1992 - in each case two
members of the Supervisory Council and one member of the
Executive Board paid working visits to operating companies
in Europe. Parts of meetings of the Supervisory Council were
also attended by managing directors of operating companies
and executives of the Company in order to explain certain
matters in further detail.
The Supervisory Council wishes to take this opportunity to
express its appreciation for what the Executive Board and all
the employees have accomplished during the year under
review.
