appropriation of profit The proposal for allocation of the profit, already included in the annual accounts,
is based on Article 12, paragraph 2, of the Articles of Association, the text of
which reads
'From the net profit there shall in the first place be distributed, if possible,
six per cent dividend on the issued share capital. The amount then remaining
shall be at the disposal of the General Meeting of Shareholders.'

We have examined the balance sheet as at September 30, 1977, the profit and
loss account for the financial year then ended and the consolidated statements
1976/1977 of Heineken N.V., Amsterdam, included in this Annual Report,
together with the explanatory notes.
In our opinion these statements present fairly the financial position of the com
pany as at September 30, 1977, and the results of its operations for the year
